Legal Agreement and Binding Nature

These Terms and Conditions constitute a legally binding agreement between you (the "Client" or "User") and Linis Verso (the "Company," "we," "us," or "our") governing your use of our website, services, and any related interactions. By accessing our website, submitting inquiries, or engaging our facility cleaning services, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions in their entirety.

If you do not agree with any provision of these Terms and Conditions, you must immediately cease using our website and services. Your continued use after any modifications to these terms constitutes acceptance of such changes. We recommend reviewing these terms periodically to stay informed of any updates.

1. User Obligations and Legal Responsibilities

1.1 Compliance with Laws and Regulations

By using our services, you agree to:

  • Comply with all applicable Philippine laws, regulations, and industry standards related to facility management and service contracting.
  • Ensure that your facility meets legal requirements for safety, accessibility, and environmental standards that may affect service delivery.
  • Maintain appropriate insurance coverage for your facility and operations as required by law.
  • Provide accurate information regarding any hazardous materials, restricted areas, or special safety protocols at your facility.
  • Respect labor laws and human rights standards in all interactions with our personnel.

1.2 Conduct Requirements

You agree to maintain professional and respectful conduct in all interactions with our company, including:

  • Treating our cleaning teams, supervisors, and staff with dignity and respect at all times.
  • Providing a safe working environment free from harassment, discrimination, or threatening behavior.
  • Communicating facility access procedures, security requirements, and any changes in a timely and clear manner.
  • Reporting any incidents, concerns, or service issues promptly and in good faith.
  • Refraining from attempting to hire our employees directly or indirectly during and for 12 months after service termination.

1.3 Content Guidelines and Restrictions

When providing feedback, testimonials, or other content, you must ensure that such content does not contain false statements, defamatory material, discriminatory language, confidential information belonging to third parties, or content that infringes on intellectual property rights. You grant us permission to use your testimonials and feedback for marketing purposes while maintaining your right to request removal of such content.

1.4 Age Restrictions and Authorization

You must be at least 18 years old or the age of legal majority in your jurisdiction to enter into these Terms and Conditions. If you are entering into this agreement on behalf of a company or organization, you represent that you have the legal authority to bind that entity to these terms.

2. Privacy, Data Protection, and Confidentiality

2.1 Personal Data Handling

Your use of our services is also governed by our Privacy Policy, which details how we collect, use, and protect your personal information. By agreeing to these Terms and Conditions, you also consent to our data practices as described in the Privacy Policy. We process personal data in accordance with the Philippine Data Privacy Act of 2012 and applicable regulations.

2.2 Third-Party Data Sharing

We may share your information with trusted third-party service providers who assist us in delivering our services, such as scheduling systems, payment processors, or analytics platforms. These providers are bound by confidentiality agreements and are prohibited from using your data for any purpose other than providing services to us.

2.3 Confidential Information

Both parties acknowledge that they may have access to confidential information during the course of our business relationship. We agree to maintain the confidentiality of sensitive facility information, security protocols, and business operations you share with us. You agree to maintain confidentiality regarding our proprietary cleaning methods, pricing structures, and business processes.

3. Indemnification Obligations

3.1 Client Indemnification

You agree to indemnify, defend, and hold harmless Linis Verso, its officers, employees, contractors, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from your breach of these Terms and Conditions, your violation of any law or regulation, your violation of third-party rights, inaccurate information provided about your facility or requirements, or negligent or willful misconduct in connection with our services.

3.2 Facility-Related Liabilities

You are responsible for ensuring that your facility is safe for our personnel to work in. This includes providing adequate lighting, ventilation, and access to utilities, disclosing any known hazards or dangerous conditions, ensuring structural integrity of areas where services will be performed, and maintaining appropriate liability insurance for your facility. You agree to indemnify us for injuries or damages resulting from undisclosed facility hazards or conditions.

3.3 Company Indemnification

Linis Verso will indemnify you for damages directly caused by our gross negligence or willful misconduct in performing agreed-upon services, subject to the limitations of liability outlined in Section 4 below. We maintain appropriate liability insurance to cover incidents that may occur during normal service delivery.

4. Liability Disclaimers and Warranty Limitations

4.1 Disclaimer of Warranties

To the maximum extent permitted by Philippine law, our services and website are provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to:

  • Warranties of merchantability or fitness for a particular purpose.
  • Warranties that services will be uninterrupted, timely, secure, or error-free.
  • Warranties regarding the accuracy or reliability of any information obtained through our website.
  • Warranties that defects will be corrected or that the website is free from viruses or harmful components.

4.2 Limitation of Liability

To the fullest extent permitted by law, in no event shall Linis Verso be liable for:

Consequential Damages: Any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost revenue, lost data, or loss of business opportunities, whether based on contract, tort, negligence, strict liability, or otherwise.

Aggregate Liability Cap: Our total aggregate liability for all claims arising from or related to our services shall not exceed the total amount paid by you for services during the 12-month period immediately preceding the event giving rise to the liability.

Third-Party Actions: Any damages, losses, or liabilities arising from actions or omissions of third parties, including but not limited to facility visitors, contractors, or other service providers.

4.3 Force Majeure

Neither party shall be liable for any failure or delay in performance under these Terms and Conditions due to circumstances beyond their reasonable control, including natural disasters, acts of God, war, terrorism, civil unrest, government actions, labor disputes, public health emergencies, utility failures, or communication system breakdowns. Services will resume as soon as reasonably practicable after such circumstances cease.

4.4 Service Limitations

We do not guarantee specific cleaning outcomes or facility cleanliness levels, as results depend on facility conditions, usage intensity, cooperation with protocols, and environmental factors beyond our control. Our service descriptions represent general capabilities and may vary based on specific facility requirements and circumstances.

5. Legal Information and Dispute Resolution

5.1 Governing Law

These Terms and Conditions shall be governed by and construed in accordance with the laws of the Republic of the Philippines, without regard to its conflict of law provisions. The United Nations Convention on Contracts for the International Sale of Goods shall not apply to these terms.

5.2 Jurisdiction

Any legal action or proceeding arising out of or relating to these Terms and Conditions shall be instituted exclusively in the courts of Metro Manila, Philippines. Both parties consent to the personal jurisdiction of such courts and waive any objection to venue in such courts.

5.3 Dispute Resolution Procedures

Before initiating formal legal proceedings, the parties agree to follow these dispute resolution steps:

Direct Negotiation: Contact us at [email protected] within 30 days of the dispute arising to attempt good-faith resolution through direct communication.

Mediation: If direct negotiation fails within 30 days, both parties may agree to mediation through a mutually acceptable mediator in Metro Manila.

Formal Proceedings: Only after exhausting negotiation and mediation options may either party pursue legal action in the designated jurisdiction.

5.4 Severability Clause

If any provision of these Terms and Conditions is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if such modification is not possible, the provision shall be severed from these Terms and Conditions. The invalidity or unenforceability of any provision shall not affect the validity or enforceability of any other provision, and the remaining provisions shall continue in full force and effect.

5.5 Entire Agreement

These Terms and Conditions, together with our Privacy Policy and any executed service agreements, constitute the entire agreement between you and Linis Verso regarding the subject matter herein and supersede all prior or contemporaneous understandings, agreements, representations, and warranties, both written and oral.

5.6 Terms Modification Policy

We reserve the right to modify these Terms and Conditions at any time. Material changes will be communicated through website notice, email notification to registered users, or both. Changes become effective 30 days after posting unless you object in writing within that period. Your continued use of our services after the effective date constitutes acceptance of the modified terms. For significant changes, we may require explicit consent.
